1. Acceptance of Terms
By accessing or using the cOS (Construction Operations System) application and services (“Service”), you agree to be bound by these Terms of Use (“Terms”). If you do not agree to these Terms, you may not access or use the Service. These Terms constitute a legally binding agreement between you and cOS.
2. Description of Service
cOS is a construction and facilities operations management platform that provides tools for managing teams, tasks, equipment, and client communications within organizations. The Service is available through a mobile application and a web-based administration dashboard.
3. Account Registration and Email Verification
To use the Service, you must have an account. Accounts are created by organization administrators or system administrators on your behalf. Upon account creation:
- You will receive an email verification link at the email address provided by your administrator.
- You must verify your email address before you can log in to the Service.
- Unverified accounts cannot access any part of the platform.
- You are responsible for maintaining the confidentiality of your login credentials.
- You must notify your administrator immediately of any unauthorized use of your account.
4. User Roles and Permissions
The Service includes the following user roles, each with specific capabilities:
Owner
Full administrative control of the organization, including managing users, branches, tasks, equipment, and all settings.
Manager
Can manage tasks, equipment, categories, and invite workers. Cannot delete the organization or manage billing.
Employee (Worker)
Can view and update assigned tasks, report equipment issues, and communicate with team members.
Client
Can submit work requests, track the progress of their requests, and communicate with the assigned team.
5. Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:
- Use the Service for any illegal or unauthorized purpose
- Upload or transmit any content that is harmful, offensive, or violates third-party rights
- Attempt to gain unauthorized access to any part of the Service or other users' accounts
- Interfere with or disrupt the integrity or performance of the Service
- Reverse engineer, decompile, or disassemble any part of the Service
- Share your account credentials with others
- Use automated tools to access or scrape the Service without authorization
6. Content and Intellectual Property
6.1 Your Content
You retain ownership of content you submit to the Service (tasks, messages, files, etc.). By submitting content, you grant cOS a limited license to store, process, and display that content as necessary to provide the Service.
6.2 cOS Intellectual Property
The Service, including its design, code, features, and brand elements, is owned by cOS and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works based on our property without prior written consent.
7. Data and Privacy
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of your information as described in the Privacy Policy.
8. Service Availability
We strive to maintain high availability of the Service but do not guarantee uninterrupted access. We may suspend or restrict access to the Service for maintenance, updates, or for reasons beyond our control. We will endeavor to provide advance notice of planned maintenance where possible.
9. Termination
Organization administrators may deactivate user accounts at any time. cOS reserves the right to terminate or suspend access to the Service for any user or organization that violates these Terms, without notice. Upon termination, your right to use the Service ceases immediately.
10. Limitation of Liability
To the maximum extent permitted by law, cOS shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of or inability to use the Service. Our total liability for any claim arising from these Terms or your use of the Service shall not exceed the amount paid by you (or your organization) for the Service in the twelve months preceding the claim.
11. Disclaimer of Warranties
The Service is provided “as is” and “as available” without warranties of any kind, either express or implied. We do not warrant that the Service will be error-free, secure, or continuously available.
12. Governing Law
These Terms shall be governed by and construed in accordance with applicable laws. Any disputes arising from these Terms or the use of the Service shall be subject to the exclusive jurisdiction of the competent courts.
13. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify users of material changes by updating the “Last updated” date and, where appropriate, through the application. Continued use of the Service after changes constitutes acceptance of the updated Terms.
